Remember those Filipino family dramas you grew up watching? The storylines almost always revolved around the same conflicts: an illegitimate child suddenly appearing, siblings destroying each other over who will be the next CEO, or an aging father desperately begging for a worthy heir.

The real version is quieter and more expensive. In actual family businesses, the damage rarely arrives as an open warfare. It shows a slow erosion: trust thinning, decisions becoming personal, and wealth quietly leaking away once the founder is no longer there to hold everything together.

A lot of businesses in the Philippines started as a mom-and-pop shop. Started small and then eventually grew into a thriving enterprise. When the founder can no longer sustain their growing business due to age or illness, that is the time for someone in the family to step in. Family constitutions are very popular in Filipino-Chinese communities; you have heard of big corporations like SM, Robinsons, Ayala, and the Aboitiz Family, who are just a few of the leading business titans in their industries. 

Most people think these big families succeed because of talent, hard work, or strong family values. But to think about it more deliberately, many of them succeed because they limit the power of individual family members through written rules. The constitution often restricts who can join the business, how shares can be sold, and even how personal lifestyle is funded. Using a family constitution exists to protect the business from the family as much as it protects the family through the business.

If you are considering developing a written family constitution to guide your family and the succeeding generation, it’s best to do it as early as possible. Founders should make an effort to organize a family council and prepare a written comprehensive family constitution. Building your framework ahead of time saves time, conflicts, and poor matching for the next leader. Planning this allows family businesses to pass on generational wealth, minimize internal conflicts, prevent hostilities, create clear governance structures, align core values with business governance, and build lasting unity, which contributes to business success. It maximizes objectivity in business decisions by controlling personal interests, which is why discussions in the family are worth having to embody corporate governance.

Failure to prepare is a preparation to fail.

And this can’t go unnoticed when a founder has failed to anticipate their succession planning and delegate the responsibilities of each family member and their contribution to the business. When that happens, there will be clear signs of an unhealthy culture in the enterprise. They have a lack of communication, the next generation is unfit to run the business, obligations are unclear, there is low trust among family members, and goals and values become obsolete. 

A family constitution is a powerful way to encourage family members to work together towards a common goal. Although it’s challenging, good and healthy business governance is achievable. The founder has to be explicit and detailed, anticipating problems that may arise in the future. And just to be clear, this not only burdens the founders; active family members in the business can also share their insights on how they think operations can be run better and the company’s culture improved. It signals professionalism and reduces family risk exposure.

Take note: agreements do not eliminate all future tensions in the family. Families still face market pressures, differing personal ambitions, external marriages, or next-generation values that diverge. The family constitution is a tool. Its value depends on consistent application, periodic review, and genuine commitment rather than just a formal signature. The hardest part is not writing the constitution. It is applying it when it hurts.
